Winery Partner Terms

Introduction
Welcome to the Cellary Winery Partnership Program. These Winery Partner Terms ("Partner Terms") govern your participation as a winery, venue, or wine producer ("Partner," "you," or "your") in the Cellary ecosystem.
By registering as a Winery Partner or accessing Partner features, you agree to these Partner Terms in addition to our general Terms & Conditions and Privacy Policy.
1. Partnership Overview
Free Access Program
Cellary provides free access to our Winery Partner platform, which includes:
- Your own winery profile page on Cellary
- Tasting list and wine catalog management
- Access to aggregated, anonymized tasting notes from Cellary users
- Digital tasting experience tools for your customers
- Analytics and insights about wine tastings at your venue
Our Goal: Build a network of wineries and users that benefits everyone—you get valuable customer insights, users get a better tasting experience, and Cellary builds the most comprehensive Australian wine database.
2. Partner Obligations
In exchange for free access to the Partner platform, you agree to:
Maintain Accurate Information
- Keep your winery profile, contact information, and hours accurate and up-to-date
- Maintain current wine lists and tasting menus
- Update vintage availability and wine details as they change
- Provide accurate pricing information (if displayed)
Support Digital Tasting Experiences
- Allow customers to use Cellary during tastings at your venue
- Encourage customers to provide tasting notes (while respecting their choice)
- Support customers who have questions about using the Cellary app
Comply with Data Usage Terms
- Use customer data only as permitted by these Partner Terms
- Respect user privacy and anonymization
- Not attempt to de-anonymize or identify individual users
3. Data Provided to Partners
What You Receive
✓ Partners have access to:
- Aggregated tasting scores and ratings for your wines (minimum 5 user notes required)
- Anonymized tasting note themes and keywords (e.g., "fruity," "oaky," "long finish")
- Wine popularity statistics (how many users tasted, skipped, or favorited each wine)
- Tasting patterns (time of year, day of week, demographic trends—all anonymized)
- Comparative data (how your wines perform relative to similar wines)
✗ Partners DO NOT receive:
- Individual user identities (names, emails, or contact information)
- Verbatim individual tasting notes (unless aggregated with 5+ notes)
- User cellar inventory or purchase data
- Any personally identifiable information (PII)
Minimum Threshold for Data Sharing
To protect user privacy, a minimum of 5 user tasting notes must exist for a wine before any aggregated data is shared with you. This ensures individual users cannot be identified from the data.
4. Permitted Uses of Partner Data
You may use the data provided by Cellary only for internal business purposes, including:
- Understanding customer preferences and feedback
- Improving your wines and winemaking processes
- Optimizing your tasting menu and wine selection
- Training staff on wine characteristics and customer preferences
- Strategic planning and business development
5. Prohibited Uses of Partner Data
Partners are strictly prohibited from:
- Reproducing or publishing individual user tasting notes or data in any public forum, marketing material, or website
- Attempting to de-anonymize or identify individual users from aggregated data
- Selling, licensing, or sharing Cellary data with third parties (including other wineries, distributors, or marketing agencies)
- Using data for direct marketing or contacting users (you don't have their contact information anyway)
- Creating derivative databases or competing services using Cellary data
- Reverse engineering or attempting to extract source data from aggregated insights
- Violating user privacy or attempting to circumvent anonymization
Violation of these prohibitions will result in immediate termination of your Partner account and may result in legal action.
6. Winery Profile and Content
Profile Ownership
Cellary creates and maintains winery profiles as part of our wine database. As a verified Partner, you may:
- Claim and edit your official winery profile
- Add photos, descriptions, and venue information
- Update wine lists and tasting menus
- Respond to user feedback (if this feature becomes available)
Content License
By submitting content to your winery profile (photos, descriptions, wine lists), you grant Cellary a perpetual, worldwide, royalty-free license to:
- Display this content on Cellary and in our marketing materials
- Share wine information with Cellary users
- Include your wines in our database and recommendation systems
Content Standards
All content you submit must:
- Be accurate and truthful
- Not infringe on third-party intellectual property rights
- Comply with all applicable wine labeling and advertising laws
- Not contain offensive or inappropriate material
Cellary reserves the right to moderate, edit, or remove any Partner content that violates these standards.
7. Verification and Eligibility
To become a verified Winery Partner, you must:
- Be a legitimate winery, vineyard, cellar door, or wine-related venue
- Provide proof of business registration and/or liquor license
- Have a physical location where wine tastings occur
- Agree to these Partner Terms and our general Terms & Conditions
Cellary reserves the right to verify your business credentials and deny Partner access to any entity that does not meet these criteria.
8. Fees and Payment
Current Free Access
The Winery Partner program is currently free of charge. You are not required to pay any fees to access Partner features or receive aggregated user data.
Future Pricing Changes
Cellary reserves the right to introduce paid tiers or premium Partner features in the future. If we introduce fees:
- We will provide at least 90 days' notice before charging existing Partners
- Basic features may remain free while premium features require payment
- You may opt-out of paid features and downgrade to a free tier (if available)
Early Partners who join during the free period may receive preferential pricing or grandfathered benefits.
9. Intellectual Property
Your Trademarks
You retain all rights to your winery name, logos, and trademarks. By participating as a Partner, you grant Cellary permission to:
- Display your winery name and logo on Cellary
- Use your name in Partner listings and "Featured Wineries"
- Include your winery in marketing materials promoting the Cellary platform
Cellary's Intellectual Property
You may not use the Cellary name, logo, or trademarks in your own marketing materials without prior written consent from Cellary.
10. Warranties and Disclaimers
Data Accuracy Disclaimer
Cellary provides aggregated user data "as is" without warranties of any kind. We do not guarantee:
- Accuracy, completeness, or reliability of user-submitted tasting notes
- That user feedback reflects professional wine criticism standards
- That data is representative of all customers or the general public
- Continuous availability of data or Partner platform features
No Guarantee of Positive Reviews
Cellary does not moderate, filter, or remove negative user feedback. We present aggregated data honestly and objectively. You acknowledge that user opinions may vary and not all feedback will be positive.
No Business Advice
Data and insights provided by Cellary are for informational purposes only and do not constitute professional business, financial, or winemaking advice.
11. Limitation of Liability
Cellary shall not be liable for any damages arising from:
- Use or reliance on Partner data and insights
- Negative user feedback or ratings
- Business decisions made based on Cellary data
- Interruption or unavailability of Partner platform services
- Loss of business, revenue, or reputation
Our maximum liability to you is limited to AUD $100, as the Partner program is provided free of charge.
12. Confidentiality
Both parties agree to keep confidential any non-public information shared through the Partner platform, including:
- Aggregated user data and analytics (your confidential information from Cellary)
- Your business plans or proprietary winemaking information (our confidential information from you)
- Any information marked as "confidential"
Confidential information may not be disclosed to third parties without prior written consent.
13. Term and Termination
Term
These Partner Terms begin when you register as a Winery Partner and continue until terminated by either party.
Termination by You
You may terminate your Partner account at any time by contacting us at partners@cellary.app.
Termination by Cellary
We may terminate your Partner account if you:
- Violate these Partner Terms or our general Terms & Conditions
- Misuse user data or attempt to de-anonymize users
- Provide false or misleading information
- Cease operating as a winery or wine venue
- Engage in behavior harmful to Cellary or our users
Effect of Termination
Upon termination, you must immediately cease using all Cellary Partner data and delete any copies in your possession. Your winery profile may remain on Cellary but you will lose access to Partner features and aggregated user data.
14. Changes to Partner Terms
We may update these Partner Terms from time to time. Material changes will be communicated via:
- Email to your registered Partner account email
- Notice in the Partner dashboard
- Updated "Last Updated" date on this page
For significant changes (such as introducing fees), we will provide at least 90 days' notice before the changes take effect.
